Job Description

Summary:

The Paralegal will report to the Chief Legal Officer & General Counsel of Crestone Air Partners, Inc., and will work at the company’s head office located in Denver, Colorado. The Paralegal will work closely with the local, U.S., and internationally-based Crestone team, as well as external law firms, corporate service providers, airlines, aircraft leasing companies, financiers, and investors, to help ensure smooth and efficient transactions.

Responsibilities:
Contract Management & Compliance:

  • Manage and perform incoming and outgoing Know Your Customer (KYC) compliance processes.
    • Review, prepare, and track Non-Disclosure Agreements (NDAs).
  • Draft, organize, and maintain corporate and LLC documentation.
  • Oversee document management systems and ensure up-to-date recordkeeping.
  • Serve as a professional liaison with existing and prospective customers, investors, and financiers.
  • Provide legal and administrative support to the internal legal team under the supervision of the Chief Legal Officer & General Counsel.
  • Track outside counsel legal fee estimates and billings.

Support the drafting, review, and negotiation of key transaction documents, including:

  • Letters of Intent (LOIs)Purchase & Sale Agreements
  • Aircraft and Engine Lease Agreements
  • Loan Agreements
  • Security Agreements
  • Servicing Agreements
  • Acceptance and Return Certificates
  • Side Letters
  • Amendments
  • Accession Agreements
  • Directors and Officers’ Certificates

Transaction Execution & Due Diligence:

  • Assist with the management of transaction documentation from LOI to closing, ensuring all contractual conditions are met.
  • Coordinate with outside counsel, corporate service providers, counterparties, and deal originators to drive timely execution of contracts.
  • Help ensure critical transaction deadlines are met, including due diligence completion, deposit refundability milestones, and board approvals.

Cost Efficiency & Process Optimization:

  • Work with Crestone’s internal legal department to handle transactions on an in-house basis.
  • Draft and maintain transaction checklists and outside legal fee tracking systems.
  • Assist in implementing contract automation tools where applicable.

Requirements:

  • Must be located in the Denver, Colorado area.
  • In-office attendance minimum three days per week (Monday, Wednesday, and Friday).
  • Bachelor’s degree or equivalent experience.
  • Current paralegal certification.
  • 7-10+ years of experience working as a paralegal in a law firm environment.
  • Current notary public certification in the State of Colorado.
  • Background in commercial asset finance and leasing transactions preferred.
  • Experience managing transaction documentation, due diligence, and closing mechanics.
  • Strong interpersonal and negotiation skills, with the ability to work effectively with investors, lenders, and external counsel.
  • Ability to prioritize multiple deals simultaneously in a fast-paced, deadline-driven environment
  • High attention to detail and analytical mindset for contract analysis and risk assessment.
  • Proficiency in MS Outlook, MS Office, MS Excel, MS PowerPoint, MS Teams, DocuSign, Adobe Acrobat, and Litera Compare.

Salary Range:

$80,000 – $115,000 USD
